Terms of Service

1. Service Overview

BookedIQ specializes in designing, building, and maintaining intelligent lead generation and booking automation systems for small and local service businesses. Our Services typically include:

• Automated lead intake from various channels (website forms, phone, email, etc.).
• Intelligent SMS, email, and voice outreach and follow-up sequences.
• Seamless appointment scheduling and calendar synchronization.
• Real-time workflow tracking and activity logging (e.g., via Google Sheets).
• Custom conversational AI development tailored to your specific business needs.

2. Client Responsibilities

By using BookedIQ Services, you agree to:

• Provide accurate, complete, and up-to-date information required for service setup and operation.
• Obtain and maintain all necessary permissions and consents for contacting your leads and customers via our automation systems.
• Use the Services solely for legitimate business purposes and in compliance with all applicable local, state, national, and international laws and regulations (including telemarketing laws, spam laws, and data privacy laws).
• Not use the Services for spamming, illegal activities, or any purpose that is fraudulent, abusive, or harmful to BookedIQ or third parties.
• Maintain responsibility for your client relationships, service delivery, and legal compliance within your own business operations.

3. Payment Terms

• Setup Fees: A one-time setup fee will be agreed upon and due prior to the commencement of service setup. This fee is non-refundable once work has begun.
• Monthly Service Fees: Recurring monthly service fees will be charged based on the agreed-upon package, workflow complexity, lead volume, and selected add-ons.
• Invoicing: Invoices will be sent via Stripe or another secure payment processor.
• Non-Payment: Failure to pay invoices when due may result in the temporary suspension or permanent termination of Services. We reserve the right to charge late fees as permitted by law.
• No Refunds: Unless explicitly stated otherwise in a separate agreement, all fees are non-refundable.

4. Intellectual Property

All custom workflows, automation scripts, conversational AI models, and proprietary tools developed or configured by BookedIQ as part of the Services remain the sole intellectual property of BookedIQ LLC, unless otherwise expressly agreed upon in a separate written agreement. You are granted a non-exclusive, non-transferable license to use these for your internal business operations while actively subscribed to our Services.

5. Data Handling & Third-Party Services

We facilitate the processing and management of your business data through secure, industry-standard third-party services (e.g., Google, Twilio, Calendly, Retell AI, OpenAI, n8n). While we strive for secure and compliant data practices, you remain solely responsible for understanding and complying with all applicable data protection laws and regulations specific to your industry and region regarding the data you provide and process through our Services. We are a service provider and processor; you are the data controller.

6. Service Modifications and Termination

• Service Changes: We reserve the right to modify, suspend, or discontinue any aspect of the Services, including features, pricing, or terms, with reasonable prior notice to you.
• Termination by BookedIQ: We may terminate your access to the Services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.
• Termination by Client: You may cancel your subscription and terminate Services at any time by providing written notice to support@bookediq.com. Your Services will typically cease at the end of your current billing cycle, and no refunds will be provided for partial periods.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BOOKEDIQ LLC OR ITS SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES; (III) ANY CONTENT OBTAINED FROM THE SERVICES; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO BOOKEDIQ LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless BookedIQ LLC, its officers, directors, employees, and agents, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), arising from: (a) your use of and access to the Service; (b) your breach of these Terms; or (c) your violation of any law or the rights of a third party.

9. Governing Law & Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of South Carolina, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be settled by binding arbitration inCharleston, South Carolina, in accordance with the rules of the American Arbitration Association (AAA), and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof.
